Terms and Conditions

Agreement to Terms By accessing or using our Netdots platform (the “Service”), you, the user (“User” or “You”), agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to all terms and conditions contained in this document, you may not use or access the Service. User’s customer does not have any rights or claims to the Service. User maintains responsibility for end customer communications.

Service Description The Service provides Users with an automated AI based helpdesk that utilizes API calls to their ticketing system and a Artificial Intelligence (AI) Large Language Model (LLM). To do this at least two ticket queues are required: one for end customer Each User is provisioned a standalone instance of the Service to accommodate customization and segmentation between customer data. Usage of the service is defined by number of Actions. An Action consists of API and AI calls needed to complete a ticket update or escalation. On average three actions are required for each ticket update.

User Registration and Account Security Upon registering for the Service, Users agree to provide accurate, current, and complete information as prompted by the registration process and to update such information to keep it accurate, current, and complete. Users are responsible for maintaining the confidentiality of their account password and are liable for any harm resulting from disclosing or allowing disclosure of any password or from use by any person of the password to gain access to the User’s account.

Use of Service The Service is provided solely for the User’s personal or internal business use. The User agrees not to resell or make any commercial use of the Service without the express consent of the Company. Output for the Service is not monitored or reviewed by Netdots and Netdots is not responsible for its contents. Any concerns regarding response should be opened as soon as identified to Netdots support. Autonomous systems require supervision by human(s). User is responsible for this oversight which may include intervention at times for clarification. User may disable the Service at any time from the Service portal by removing the project configuration. Service may escalate to an assigned person. If escalation occurs, the end customer will not receive an update until a human enters information in the end customer-initiated ticket. By using Service, you agree and acknowledge that information provided will be shared with OpenAI, LLC and are subject to their API terms

Billing and Payment Users will be billed based on their usage of the Service, specifically the number of Actions taken to support ticket updates in the previous month. To cancel the service, User may remove project configurations so there is no future usage. After a couple months of non-use, the entire User profile and helpdesk configuration will be deleted. To be removed sooner, User must send a request to [email protected].

Cancellation and Termination Users may cancel their subscription to the Service at any time by sending a request to [email protected]. Upon cancellation, Users will be billed on a prorated basis for any usage incurred up to the point of cancellation. User may also remove project configurations so there is no future usage. After a couple months of non-use, the entire User profile and helpdesk configuration will be deleted.

Intellectual Property Rights The Company retains all right, title, and interest in and to the Service, including without limitation all software used to provide the Service and all logos and trademarks reproduced through the Service.

Limitation of Liability The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, use, data, or other intangibles, whether based on contract, tort, negligence, strict liability, or otherwise, arising out of or related to your use of the Service, even if the Company has been advised of the possibility of such damages. User has right to use and stop usage at any time.

Modification of Terms AI laws, regulations and terms of service from AI LLM providers change often. The Company reserves the right, at its sole discretion, to modify or replace these Terms at any time.

Governing Law These Terms shall be governed by and construed in accordance with the laws of Virginia, without giving effect to any principles of conflicts of law.
